Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Achiral AI ("we," "us," or "our"), a product owned and operated by Swizzle Inc., regarding your use of the Achiral AI platform and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Achiral AI provides an AI assistant platform powered by Large Language Models (LLMs) and vector databases. Each organization receives a dedicated AI assistant (Chiro) with isolated data storage. Our Service includes:

  • Dedicated AI assistant with multi-tenant isolation
  • Real-time chat interface with conversation history
  • Document upload and semantic search (RAG)
  • Custom fine-tuning with organization-specific data
  • Tier-based quotas (Spark, Seed, Growth, Dedicated)
  • Optional pod isolation for enterprise customers
  • WebSocket-based real-time messaging
  • Team collaboration and workspace management

3. Account Registration and Eligibility

To use our Service, you must create an account and provide accurate, complete information. You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscription Plans and Billing

Our Service is offered through various subscription plans with different features and pricing. Current pricing is available on our pricing page.

Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in our Refunds and Payments Policy.

We may change our pricing at any time. Price changes will be communicated at least 30 days in advance for existing customers.

5. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable laws, regulations, or third-party rights
  • Transmit malicious code, viruses, or other harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Use the Service for competitive intelligence against Achiral AI
  • Reverse engineer, decompile, or attempt to extract our proprietary algorithms
  • Attempt to access other organizations' AI assistants or data
  • Abuse rate limits or attempt to bypass quota restrictions
  • Use the Service to generate harmful, illegal, or abusive content

6. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your data is governed by our Privacy Policy and Data Processing Policy.

You retain ownership of your data. Your organization's AI assistant data is isolated in a dedicated Weaviate tenant and never shared with other organizations. Fine-tuned model adapters are organization-specific. We implement enterprise-grade security measures including encryption, multi-tenant isolation, and self-hosted infrastructure.

7. Intellectual Property

The Service, including all software, algorithms, AI models, and content, is owned and operated by Swizzle Inc. and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You retain ownership of your content and data. By using the Service, you grant us a license to process your data as necessary to provide the Service.

8. Service Level Agreement

We strive to maintain 99.9% uptime for our Service. Our detailed Service Level Agreement (SLA) is available in our SLA Policy.

We provide different levels of support based on your subscription plan, including email support, priority support, and dedicated account management for enterprise customers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ACHIRAL AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Achiral AI from and against any claims, damages, losses, and expenses arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. We may suspend or terminate your access to the Service for violation of these Terms.

Upon termination, your right to use the Service will cease immediately. We will provide you with access to export your data for a reasonable period following termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days in advance. Your continued use of the Service after the effective date of the changes constitutes acceptance of the new Terms.
