Terms of Service

1. Agreement

These Terms of Service govern access to and use of Achiral AI, a product operated by Swizzle Inc. References to Achiral AI, we, us, or our mean Swizzle Inc. and its Achiral AI product team.

If you use Achiral AI on behalf of an organization, you represent that you have authority to bind that organization. If your organization signs an order form, statement of work, data processing addendum, or other written agreement with us, that agreement controls where it conflicts with these Terms.

2. Service

Achiral AI provides shared organizational memory, personal executive assistants, an org-wide Chiro assistant, connectors, retrieval, inference workflows, support, and related software services.

The Service is intended for business use. It is not a substitute for professional judgment, regulated advice, emergency response, legal review, medical diagnosis, financial advice, or human decision-making where law or prudence requires human review.

3. Accounts and Administrators

You are responsible for account credentials, administrator actions, invited users, connected tools, and all activity under your organization account.

Administrators may configure memory, connectors, user access, billing, audit settings, and support access. You are responsible for ensuring that administrators have appropriate authority and training.

4. Customer Content and Memory

Customer Content means prompts, messages, documents, connector data, uploads, instructions, metadata, feedback, outputs, and other information submitted to or generated through your Achiral AI organization.

You retain ownership of Customer Content. You grant Achiral AI the limited rights needed to host, process, transmit, retrieve, index, secure, display, and otherwise operate the Service for your organization.

Achiral AI does not use Customer Content from business accounts to train shared foundation models unless you expressly agree in a separate written agreement or opt-in control.

5. AI Outputs

AI outputs may be inaccurate, incomplete, outdated, or unsuitable for a particular purpose. You are responsible for reviewing outputs before relying on them or sharing them outside your organization.

You are responsible for evaluating whether outputs, automations, or recommended actions are appropriate for your use case, especially in regulated, high-impact, safety-sensitive, employment, financial, healthcare, legal, or public-sector contexts.

6. Connectors and Third-Party Services

When you connect third-party tools, you authorize Achiral AI to access and process the connected data according to your configuration and permissions.

Third-party services remain governed by their own terms. We are not responsible for third-party services, outages, permissions, data practices, or changes outside our control.

7. AI Shepherds and Support

AI Shepherds and support personnel may assist with onboarding, account configuration, memory quality, connector troubleshooting, retrieval quality, and inference support.

Support access is limited to what is needed to provide the Service, investigate issues, maintain security, or comply with law. Additional access controls and approval workflows may be available by plan or written agreement.

8. Usage Rules

You must comply with our Usage Policy and all applicable laws. You may not use the Service to violate privacy rights, compromise systems, generate illegal content, bypass safety controls, infringe intellectual property, or make prohibited high-impact decisions without appropriate human review and legal basis.

We may suspend or restrict access if we reasonably believe use of the Service creates security, legal, operational, abuse, or safety risk.

9. Billing

Plans are priced as fixed memory buckets based on plan tier, memory capacity, and organizational account limits. We do not charge self-service customers by token unless a separate agreement says otherwise.

Billing, renewals, cancellations, credits, and refund review are described in the Billing & Refunds Policy. Sales-led plans, enterprise plans, custom infrastructure, and negotiated SLAs may be governed by separate order forms.

10. Security and Availability

We maintain administrative, technical, and organizational safeguards designed to protect the Service and Customer Content. No system can be guaranteed to be completely secure or uninterrupted.

Availability commitments, support response targets, maintenance, exclusions, and service-credit procedures are described in the Service Level Agreement or your applicable written agreement.

11. Intellectual Property

We and our licensors retain all rights in the Service, software, models, interfaces, documentation, workflows, and underlying technology.

You may use the Service only as permitted by these Terms and any applicable plan, order form, documentation, and usage limits. You may not reverse engineer, scrape, copy, benchmark for publication, or attempt to extract model weights, system prompts, source code, or non-public implementation details except as allowed by law.

12. Confidentiality

Each party may receive non-public information from the other. The receiving party must protect confidential information using reasonable care and use it only for the purpose of performing under these Terms or an applicable agreement.

Confidential information does not include information that is public through no fault of the receiving party, independently developed, lawfully received from another source, or approved for release in writing.

13. Disclaimers

The Service is provided as is and as available, except as expressly stated in a written agreement. We disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation to the fullest extent permitted by law.

You are responsible for your data, configurations, legal bases, user permissions, connected systems, and decisions made using the Service.

14. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, or loss of data.

Except for amounts owed, confidentiality obligations, misuse of intellectual property, or obligations that cannot legally be limited, each party's aggregate liability is limited to the amounts paid or payable for the Service in the twelve months before the event giving rise to the claim.

15. Changes

We may update these Terms from time to time. Material changes will be posted with a new last updated date and, where appropriate, notice to account administrators.

Continued use of the Service after changes become effective means you accept the updated Terms.
